CONSTITUTION / ARTICLES OF INCORPORATION
  1. Name:  The name of this organization shall be the "Flying 20 Club, Incorporated".
  2. Purpose:
    1. To encourage an interest in aviation.
    2. To promote safe and economical flying for its members.
    3. To encourage and assist its members to advance in aviation.
  3. Membership: Members must be hold at least a current United States issued Private Pilot Certificate with an Airplane Single Engine Land rating.  Prospective members shall be required to submit an application for membership.  Memberships will be limited to the maximum number as specified in the Club’s current "General Information Sheet".
  4. Membership Costs:
    1. Initiation Fee:  Prospective members shall be required to pay the then current initiation fee as set by the members at-large or by the executive committee as specified in the Club’s current "General Information Sheet".
    2. Monthly Dues:  As set by the members-at-large or by the executive committee, which shall include proportionate costs of the following:  insurance, tie-downs, taxes, fees, etc. as specified in the Club’s current "General Information Sheet".
    3. Flying Costs:  Hourly rates shall be based upon the costs of operating, maintaining and replacing aircraft and include but not be limited to the following: costs of gasoline, oil, contribution 100 hour and annual inspections, contribution to maintenance costs associated with flight usage, engine reserves, avionics reserves, airframe reserves and other costs assigned to flight usage as specified in the Club’s current "General Information Sheet".
  5. Officers of the Club:
    1. President - Elected for a two year term  (Senior Officer
    2. Vice President - Elected for a two year term  (Senior Officer)
    3. Secretary - Elected for a two year term  (Senior Officer)
    4. Treasurer - Elected for a two year term  (Senior Officer)
    5. Flight Officer(s) - Appointed by the President and serve at the President’s pleasure
    6. Assoc. Flight Officer(s) - Appointed by the President and serve at the President’s pleasure
  6. Executive Board
    1. All officers (except Associate Flight Officers) are members of the Executive Board.
    2. The most recent past President
    3. Member(s) at-large are appointed by the current President
    4. Except as specifically provided elsewhere, the Executive Board shall have all rights of the membership at-large.
  7. Elections:
    1. Nomination and election of officers shall be at the regular Club meeting in February of odd years such as 2001, 2003, 2005, etc.  Officers shall be nominated and elected from the floor for a term of two years in every odd year.  The new officers shall be installed at the regular meeting in March.
    2. Vacancies may be filled by appointment for the balance of a term by the President.  Should the office of President be vacated, the Vice President will assume the office for the duration of the period.
  8. Meetings:
    1. Regular meetings shall be held monthly.  Refer to the operating procedures page 10 , paragraph 12 for further details.
    2. Annual meeting, schedule for the regular September meeting.
    3. Special meetings may be called by the president, vice-president, secretary, treasurer, a majority vote of the Executive Committee or by request of one-third of the membership.
  9. Quorum:
    1. A quorum shall consist of one-third of the members, in person or by written proxy.
    2. A super-quorum shall consist of two-thirds of the members, in person or by written proxy.
  10. Amendments:. Amendments to the Constitution may be made by two-thirds majority (super-quorum) vote of the members present at two meetings, provided a quorum is present and that the members are given notice of the proposed amendment by mail.
  11. By-Laws and Operating Procedures Changes:   Such changes may be adopted by a majority vote of the members present at a meeting provided a quorum is present; or by a majority vote of the Executive Board.
  12. Duties of the Officers of the Club:
    1. President:  It shall be the duty of the President to lead the club; to conduct meetings in an efficient and business-like manner, to safeguard the interests of the Club, to appoint all committees and fill any vacancy in the Executive Board or Officers of the Club and to act as Chairman of the Executive Board.
    2. Vice-President:  It shall be the duty of the Vice-President to act as and on behalf of the President including conduct meetings in an efficient and business-like manner in the President’s absence, to safeguard the interests of the Club, to act as Chairman of the Executive Board, in the President’s absence or otherwise to act as a member of the Executive Board and to assume the President's responsibilities at his/her request or if the President is unable to perform his/her duties.
    3. Secretary:  It shall be the duty of the Secretary to record and distribute minutes of Club and Executive Board meetings, to handle Club correspondence as required, and to act as a member of the Executive Board.  In addition, the Secretary shall be responsible for maintaining the official non-financial club documents including, but not limited to, the Constitution, the By-Laws and the Operating Procedures.
    4. Treasurer: It shall be the duty of the Treasurer to maintain accurate financial records of Club business, to invoice members monthly for dues and flying charges, to advise the Executive Board of members in arrears and to act as a member of the Executive Board.  The Treasurer shall be responsible for maintaining the Club’s financial documents.  The Treasurer shall be entitled to receive compensation in amount and type approved by the Executive Board or the membership at-Large.  The specific compensation may be adjusted based upon workload and membership size, which shall be documented within the Operating Procedures.
    5. Flight Officer(s):  It shall be the duty of the Flight Officer(s) to maintain or to assure that proper documentation for the aircraft, management of repairs, inspections, and improvements so as to provide high availability and an airworthy status of the aircraft.  Flight Officers serve as members of the Executive Board.
    6. Associate Flight Officer(s):  It shall be the duty of the Associate Flight Officer(s) to assist the Flight Officer(s) maintain or to assure that proper documentation for the aircraft, management of repairs, inspections, and improvements so as to provide high availability and an airworthy status of the aircraft.  Associate Flight Officers are not members of the Executive Board.
    7. Executive Board:  It shall be the duty of the Executive Board to act on all matters of policy, to act in a judicial manner on all violations of Club Rules, to protect club interests and safeguard its welfare; in addition:
      1. To be sensitive to the needs and desires of the members as it relates to airplanes and equipment, and to bring forward proposals to meet these needs for evaluation and approval.
      2. To audit the books annually and report to the members the results, and explain how the audit was conducted.
      3. To act on applications for membership when vacancies exist.
      4. To report at the regular monthly meeting of the membership, the subjects, conclusions and/or recommendations of the previous Executive Board meeting.
  13. Duties of Members:
    1. It shall be the duty of members to read and understand the Constitution, By Laws and Operating Rules and to abide by these, to respect Officers of the Club, all reports and recommendations of the Executive Board, the rights of other members, and to conduct themselves in a proper manner both while operating the Club’s aircraft and at the Club meetings.
    2. To uphold the dignity of the club at all times and to be alert and mindful of Club interests.
    3. It shall further be the duty of each member flying the Club airplanes to exercise all due caution and to observe all the FAA, state, local field and club rules necessary for the safe operation of the airplane on the ground and in the air.
  14. Special Financial Responsibility of Officers and Members:
    1. Officers of the Club (or individual members) are required, from time to time, to personally guarantee payment of the loans taken to finance the purchase of Club planes.  If the Club's assets are not sufficient to pay these aircraft loans, the lender may recover from the officers (or individual member) who personally guaranteed the loan.  To the extent that any Club officer or member must personally pay any lender for an aircraft loan, each member of the Club, individually, shall, by virtue of his/her membership, be obligated to pay a pro rata share of such personal guarantee, payment according to the ratio which one membership bears to the total active membership, 6 months prior to the date upon which such payment is made by the Club officer.
    2. This personal indemnification obligation shall continue for a period of 6 months after a member terminates active participation in the Club.
